End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “Merchant”) and Dial Genius (“Company”, “we”, “our”, or “us”) governing your use of the Dial Genius application (“Application”) integrated with Clover.

By installing, accessing, or using the Application, you agree to be bound by this Agreement. If you do not agree, do not install or use the Application.

1. License Grant

Dial Genius grants you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for internal business purposes in connection with your Clover merchant account.

2. Permitted Use

The Application is designed to help merchants:

•⁠ ⁠Create and manage orders within Clover
•⁠ ⁠Automate order entry from external channels such as voice or chat interactions
•⁠ ⁠Improve operational efficiency and order accuracy

You agree to use the Application only in compliance with applicable laws and Clover’s terms of service.

3. Restrictions

You may not:

•⁠ ⁠Reverse engineer, decompile, or modify the Application
•⁠ ⁠Use the Application for unlawful or unauthorized purposes
•⁠ ⁠Resell, sublicense, or redistribute the Application without prior written consent from Dial Genius

4. Data & Third-Party Services

The Application interacts with Clover APIs and processes order-related data only as necessary to provide its functionality.

Dial Genius does not store, process, or handle payment card data. All payments and sensitive financial information are handled exclusively by Clover and subject to Clover’s own terms and security standards.

5. No Warranty

The Application is provided “as is” and “as available”, without warranties of any kind, express or implied. Dial Genius does not guarantee uninterrupted, error-free, or fully accurate operation at all times.

6. Limitation of Liability

To the maximum extent permitted by law, Dial Genius shall not be liable for any indirect, incidental, special, consequential, or business interruption damages arising from the use or inability to use the Application.

7. Termination

Dial Genius reserves the right to suspend or terminate access to the Application at any time if this Agreement is violated or if the Application is misused.

8. Changes to This Agreement

Dial Genius may update this Agreement from time to time. Continued use of the Application after changes constitutes acceptance of the updated Agreement.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the applicable jurisdiction where the merchant operates, without regard to conflict of law principles.
